The exact scope, deliverables, timeline, fees, and responsibilities for any engagement are defined in the applicable proposal, statement of work, contract, invoice, platform agreement, or other written communication accepted by the client.
4. Proposals, scopes, and separate agreements
Any proposal, scope of work, contract, invoice terms, or written service agreement accepted by a client may include additional or different terms specific to that engagement.
If there is a conflict between these website Terms and a signed or otherwise mutually accepted written client agreement, the client agreement will control for that engagement.
5. Fees, billing, and payments
Fees are due according to the payment schedule stated in the applicable proposal, invoice, subscription, contract, or other written agreement.
Unless otherwise agreed in writing, advertising spend, third-party software, media costs, platform fees, listing fees, content production costs, and other external expenses are separate from NK Digital's service fees.
Late or failed payments may result in delayed work, paused services, restricted access to deliverables, or termination of the engagement, subject to the applicable agreement and law.
6. Client responsibilities
Clients are responsible for providing accurate information, timely feedback, and the access reasonably required to perform the agreed work.
This can include access to websites, hosting, Google Business Profiles, advertising accounts, analytics platforms, CRM systems, call tracking tools, social platforms, or other relevant business systems.
Clients are also responsible for ensuring that claims, offers, licenses, certifications, pricing, business information, creative assets, and other materials supplied to NK Digital are accurate, lawful, and authorized for use.
7. Third-party platforms and services
Many marketing activities rely on third-party platforms such as Google, Meta, WordPress, hosting providers, analytics platforms, CRM systems, directories, scheduling tools, and advertising networks.
NK Digital does not control the policies, algorithms, approval processes, suspensions, outages, account reviews, ranking systems, pricing changes, or technical decisions of third-party platforms.
We are not responsible for losses caused solely by a third party's platform change, suspension, outage, policy enforcement, algorithm update, account restriction, or service interruption, except to the extent caused by NK Digital's own breach or misconduct.
8. Marketing results and no guarantees
NK Digital works to improve marketing performance using professional judgment, research, data, and accepted industry practices. However, marketing outcomes depend on many factors outside our control.
We do not guarantee specific rankings, traffic levels, lead volume, cost per lead, revenue, sales, return on ad spend, AI search visibility, Google Business Profile placement, Local Pack placement, or other specific business outcomes unless an explicit written guarantee is included in a separate agreement.
Case studies, screenshots, testimonials, and historical results shown on this website illustrate past client outcomes. They are not promises that another business will achieve identical or similar results.
9. Intellectual property
Unless otherwise stated, the NK Digital website, branding, design, copy, graphics, layouts, original frameworks, and other proprietary website materials are owned by or licensed to NK Digital and are protected by applicable intellectual property laws.
You may not reproduce, republish, distribute, sell, license, or commercially exploit our proprietary website content without prior written permission.
Ownership and usage rights for client-specific deliverables are governed by the applicable client agreement, proposal, or statement of work.

11. Disclaimer and limitation of liability
